Terms of Service
Welcome to Podsense.com (“Podsense”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your participation as a Podcast Supply Partner (“you”, “your”, “Publisher”) in the Podsense audio advertising network.
By signing up or otherwise entering into a partnership with Podsense, you agree to these Terms and conditions.
1. Eligibility and Enrollment
1.1 You must be at least 18 years old and have the authority to represent and monetize your podcast content.
1.2 You must own, control, or have authorized rights to distribute and monetize the podcast(s) submitted to Podsense.
1.3 Your podcast(s) must meet Podsense’s technical and content quality standards. We reserve the right to approve or deny participation at our discretion.
2. Your Responsibilities as a Podcast Supply Partner
2.1 You must provide valid and current information about your podcast(s), including but not limited to RSS feed, download metrics, and hosting platform.
2.2 You agree not to engage in artificial manipulation of downloads or listens, including the use of bots, scripts, or traffic farms.
2.3 You are solely responsible for the content of your podcast(s), including any user-generated or third-party materials used, and for ensuring that all content complies with applicable laws and regulations.
3. Ad Monetization & Inventory Management
3.1 Dynamic Ad Insertion (DAI): You agree to allow Podsense to dynamically insert audio advertisements into your podcast episodes using server-side technology.
3.2 Ad Formats: Ads may include pre-roll, mid-roll, and post-roll placements, as well as companion visuals where supported.
3.3 Ad Controls: You will be given access to a dashboard (or other management tool) where you can manage available ad slots, set brand safety preferences, and approve or block specific ad categories or campaigns.
3.4 Host-Read Campaigns: You may be offered host-read opportunities. Participation in these is optional but subject to Podsense’s guidelines and approval process.
4. Revenue Share and Payments
4.1 Revenue will be shared as a percentage of net ad revenue generated through your podcast inventory. The standard split is 97% Publisher / 3% Podsense, unless otherwise agreed.
4.2 Payments will be issued monthly within 90 days after the end of each calendar month, subject to a minimum payout threshold of $50.
4.3 You are responsible for providing valid tax and payment information. Failure to do so may result in delayed or forfeited payments.
4.4 We reserve the right to withhold payments in the event of suspected fraud, metric manipulation, or breach of these Terms.
5. Content Standards and Restrictions
5.1 Your podcast(s) must not promote or contain illegal, hateful, sexually explicit, misleading, or discriminatory content.
5.2 You must comply with all copyright laws and confirm that you have obtained all necessary rights, licenses, or permissions for any third-party music, clips, or other audio elements used in your episodes.
5.3 Podsense reserves the right to suspend or remove monetization from any podcast or episode that violates these content standards.
6. Licensing and Distribution Rights
6.1 By participating, you grant Podsense a non-exclusive, worldwide, royalty-free license to:
● Market and promote your podcast inventory to potential advertisers;
● Insert advertisements into your episodes;
● Use your podcast name, artwork, and metadata for promotional and reporting purposes.
6.2 You retain full ownership of your podcast content and RSS feed.
7. Term and Termination
7.1 These Terms are effective upon acceptance and continue until terminated by either party at their will.
7.2 Podsense may suspend or terminate your participation immediately in the event of fraud, violation of these Terms, or actions that may damage our reputation or relationships.
7.3 Upon termination, ad serving will cease, and any undisputed earnings will be paid during the next billing cycle.
8. Confidentiality
You agree not to disclose confidential information about Podsense’s business practices, advertiser relationships, revenue models, or platform tools without prior written consent.
9. Data and Metrics
9.1 Podsense may track performance metrics including downloads, impressions, completion rates, and listener behavior to support ad delivery and campaign optimization.
9.2 You may be required to share third-party data (e.g., Apple Podcasts, Spotify, or hosting platform stats) to support campaign verification.
10. Limitation of Liability
To the fullest extent permitted by law, Podsense will not be liable for indirect, incidental, or consequential damages. Our total liability is limited to the total revenue paid to you over the previous 90 days.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, USA. Disputes shall be resolved through good-faith negotiation, and if necessary, binding arbitration in that jurisdiction.
12. Modifications
Podsense reserves the right to update these Terms at any time. We will notify you of material changes via email or platform notice. Continued use of the Podsense platform constitutes acceptance.
13. Entire Agreement
These Terms constitute the full agreement between you and Podsense regarding podcast monetization, superseding all prior agreements.
By working with Podsense as a podcast supply partner, you confirm that you have read, understood, and agreed to these Terms and Conditions.
